Q: Who is Telvent?

Q: Why Did Telvent Acquire Miner & Miner?

This is a growth strategy for both companies, as well as for ESRI. ArcFM will become an important part of the Telvent "Up the Hourglass" strategy, designed to enable users to realize operational and strategic benefits from integrating real-time and enterprise IT. This strategy allows users and clients to improve the strategic use of realtime and network data, and integrate an enterprise from the meter to the boardroom. The ArcFM Solution will continue to grow through investment by M&M based on feedback from users and partners and from specific technology applications in non-traditional industry verticals such as traffic, transport and the environment. But, increased ArcFM functionality to support non-traditional markets will be in addition to, not in place of, growth in functionality for current markets.

Q: Will Miner & Miner's name be changed?

No, nor will the branding strategy for the ArcFM Solution change. The entire company will leverage the brand and image strength of the ArcFM Solution and M&M. Eventually, M&M's name will be transitioned to: Miner & Miner, a Telvent company.

Q. What organizational changes should M&M employees, users, and partners expect?

No organizational changes are expected within Miner & Miner. M&M is joining Telvent North America, a company with just over 500 employees in Canada and the US, headquartered in Calgary, Alberta. Telvent North America also has offices in Houston, TX, and Baltimore, MD. Jeff Meyers continues as president of M&M and remains an equity owner. Jack Dangermond, president of ESRI, is also an equity owner.

Q. Will M&M's focus on utility solutions change?

No. M&M will continue to build and deliver the ArcFM Solution to electric and gas, water and wastewater utilities. The new relationship with Telvent will enable M&M to maintain its focus while providing ArcFM on a more global scale. Additionally, long term, Telvent will look forward to the opportunity of applying M&M technology in other industry segments it serves. This will encourage continuous and even accelerated investment in the M&M products our users have become accustomed to.

Q: What's the business arrangement, merge or separate subsidiary?

Miner & Miner will become a subsidiary of Telvent, North America.

Q: How will Miner & Miner/Telvent operate?

M&M will work as separate business unit within the Telvent network of companies, providing the core ArcFM Solution products and GIS implementation expertise. In North America, changes in operations will be minimal. There may be opportunities in North America for Telvent and M&M to work jointly on realtime IT projects that include GIS. Internationally, in conjunction with other Telvent groups and through our existing partner channels, M&M will support the growth and expansion of ArcFM both as GIS-only projects, and as a part of the larger realtime IT practice of Telvent.

Q. What about existing contracts with M&M? Are these still valid?

Yes. All existing contracts will remain in force as is.

Q: Will there be any change in the ESRI/Miner & Miner relationship?

No. Miner & Miner will continue as a key ESRI business partner for the electric, gas, and water/wastewater market. M&M will continue to develop and support only the ESRI platform. Jack Dangermond will continue to maintain an equity stake in M&M. ESRI and M&M will keep working closely together in terms of product development, at the regional level in US, and through the network of ESRI and M&M international distributors to bring the market-leading ArcGIS/ArcFM Solution to energy and water/waste water utilities throughout the world. Telvent will become a global partner of ESRI, extending its reach in energy utilities and a variety of other market sectors, including some existing activities in the public sector.

Q: How does this affect M&M partners?

No change. This is not intended to be an exclusive relationship, nor to limit M&M's other partnerships in any way. M&M will continue to work with their existing business and implementation partners.

Q. I use one of M&M's business partners for implementation services. How will that relationship be affected by the change?

It won't. M&M business partners will continue to work in many markets and at specific user sites just as before. Telvent will not replace any existing partner relationship.

Q: Will M&M offer different services and products?

Telvent is organized to allow business units with specific competencies to support other business units in the delivery of technology. Just like M&M and ArcFM, the other product centers within Telvent support specific technologies and infrastructure products, exclusively in support of specific competency applications. Initially, and for the most part, M&M team members will be involved in the delivery of ArcFM for electric, gas and water/waste water utilities. But as ArcFM is applied and implemented as a core product in other areas of Telvent's practice like traffic, transport, and pipelines, M&M will likely have the opportunity to expand.
